New method applying to declaration of dividends

On 28 June 2010 the Government made an amendment to section 254T of the Corporations Act that changes the way that a company's dividends can be declared.  Basically the focus for payment of dividends has moved from a company "profits" based test to a company "solvency" based test.

Section 254T now provides:

A company must not pay a dividend unless:

(a) the company's assets exceed its liabilities immediately before the dividend is declared and the excess is sufficient for the payment of the dividend; and

(b) the payment of the dividend is fair and reasonable to the company's shareholders as a whole; and

(c) the payment of the dividend does not materially prejudice the company's ability to pay its creditors.

In some particular circumstances, this may even allow a company to pay dividends out of capital.

Care should be taken and advice sought from the company's Accountant before determining whether to pay dividends (and if so the amount to be paid).

Super Gearing Bare Trust
